Mediapolis S.p.A. is a major entertainment investment based on a theme park in northern Italy between Milan and Turin. The present market value of Mediapolis S.p.A. is estimated at €52 million, with a shareholder capital of €9 million.
The major shareholders are Mediapolis Investments S.A. Luxembourg (69.5%) and Telecom Italia Group (8.59%).

Brainspark currently holds 10.87% of Mediapolis Investments and 0.47% of Mediapolis S.p.A.. It expected that construction on land which the company already owns will begin in the spring of 2010, once final approvals have been confirmed.

The project is made up of five different parts:

    * Theme Park on European level
    * Large scale specialised shopping centre
    * Hotel and welcoming organisations
    * Energy production plants
    * Satellite TV and events


Mediapolis will be the largest entertainment venue in the Milan - Turin urban area , and can be reached within one hour's drive by 4 million people, within two hour's drive by 12 million, within three hour's drive by 18-20 million and within 4 hour's drive by 45 million.

A venue producing and distributing commercial and entertainment content, operating without interruptions with daily programs articulated into "thematic channels" (show, music, cinema, TV, new media, games, travel).

The Milan-Turin area is one of the most important in Europe, with over 18 million inhabitants, and with the Alps - Mediterranean region, it accounts for a total of 35 million people, it is the third European urban macro-aggregate with its high purchasing power and the lack of competition in this sector.

With an area of 670,000 square metres (about 165 acres), fronting the A6 motorway for 1 km, the Theme Park on a European level can act as an "engine" able to generate visibility and attract the crowds in an area that can be reached. Approximately six million visitors are expected annually, of which 1.6 million paying admissions. An integrated and synergic aggregate in a largely evocative architectural and landscaped context consisting of shopping centre, various services, cinemas, theatres, restaurants, hotels.
 
Brainspark announces that its 69.94 per cent. owned subsidiary Mediapoli Spa, controlled via Mediapolis Investment SA Luxembourg, signed a binding agreement with GEI Company Group Spa. ("GEI"), under which GEI will be the General Contractor Company for the Mediapolis project.
GEI is a Milan-based General Contractor with strong expertise in delivering complex projects in diverse areas, characterised by a high technological component. In particular, its core business ranges in the tourism and hospitality, commercial, healthcare, infrastructure, plants and renewable energy sectors.
 
Brainspark plc has completed a contract to invest in ORH S.r.l. ("Ora"), a successful hotel and travel business, which owns the Ora Hotel Group, managing nearly 40 hotels across Italy and around the world, and a medium sized Italian travel operator, called Staff & Co Ltd.
Brainspark has paid EUR 1 million in cash for a 20% stake in Ora.
Ora will become the management company for the two hotels being planned for development at the Mediapolis theme park complex in northern Italy. The building work for these hotels is expected to commence during Spring 2011 and they are expected to be open to the public within three years.
 
Brainspark has invested EUR 200,000 in Class Finance S.r.l., a consulting business which will become responsible for the financial control of the Mediapolis project.
Mediapolis has additionally invested EUR 65,000 in Sforza S.r.l. a recently established, specialist real-estate management company. Sforza will provide management services for Brainspark's rapidly growing property portfolio, including its theme parks, Mediapolis and Ondaland.
 
Additionally, Brainspark has signed a formal agreement with the first nine partners of a consortium, which is being created to provide all the necessary services pertinent to the development, build and fit out of the Mediapolis theme park in Italy.
 
Brainspark plc has entered into an agreement with UK based Firkon Ltd to acquire 20 per cent. of the issued share capital of Wall s.r.l., an italian property company, which owns significant interests in two construction companies. Wall owns 80 per cent. of CO.GE.VI. s.r.l. a specialist commercial construction company, and 100 per cent. of Cullati Impresa Construzioni, a well regarded general building contractor. Both companies are based in Torino, Italy.
 
Brainspark plc announces it has subscribed to an increase in capital of EUR 2.5 million in Mediapolis S.p.A. bringing the Company's direct and indirect holding (including Mediapolis investment SA) in Mediapolis to just over 75 per cent. of the issued share capital.

Ondaland is the biggest Water Park in Italy. Strategically located on the Milan to Turin motorway, at the intersection of the Varese-Genoa motorway, next to the "Vicolungo" Outlet and only 30 km from Mediapolis.

The park covers 45 acres, and carries 27 attractions and 11 catering points, making the park the reference in terms of water entertainment venues of the whole Lombardy and Piedmont region, with more than 350,000 admissions during its 3 months Summer opening season.

At its year end of 31 August 2009, Ondaland reported a turnover of € 4m, with profit before tax of € 1.25m. It has recently been independently evaluated at € 25m, making it an ideal candidate for Brainspark's acquisition strategy.

Ondaland also has an approved project (in terms of building permits) for a major expansion of its facilities to include an attraction park that would consist of a dozen traditional rides with the aim of increasing the opening season from three to six months.
