                               Board Appointment
Dennis Bailey has been appointed a Director of Brainspark with immediate effect.

Mr Bailey became a member of the London Stock Exchange in 1968, a Partner in
Hichens Harrison & Co, one of the oldest firms of stockbrokers having been
established in 1803, and later a joint owner of the business, which was sold to
Sanlam of South Africa in May 2001. In his 35 years with Hichens, Harrison & Co,
Mr Bailey was engaged in discretionary investment management and later Head of
Corporate Finance involved in new issues and takeovers.  Mr Bailey resigned as
Managing Director of Hichens, Harrison & Co plc in May 2004.  He is now Chairman
of Financial Fun Limited, a company engaged in investment management support and
company research for takeovers.

In accordance with the AIM Rules, the following information is provided:
     
1.   Mr Dennis Bryan Bailey is aged 66.

2.   Prior to joining the Brainspark Board, Mr. Bailey subscribed for £50,000 of
     Brainspark convertible loan notes, as previously announced, which has been
     converted into 10,869,565 Ordinary Shares in the Company.

3.   Dennis Bailey holds/has held the following directorships:

4. In April 1993, Inspectors appointed by the Secretary for State for Trade and
Industry interviewed Mr Bailey of Hichens in the course of their enquiries
regarding the affairs of Astra Holdings plc. In the published report, the
Inspector stated that Mr Bailey and Hichens fulfilled their duties competently
and responsibly save only in failing to ensure the fulfilment by Astra's
financial adviser of an obligation to make a filing with the London Stock
Exchange and also in failing to urge Astra to make fuller disclosure in its
interim report of certain problems on which Mr Bailey was aware.
